Terms and Conditions

Section 1 below sets out the full terms of our SMS text messaging program. These Terms should be read together with our Privacy Policy.

Agreement to Our Legal Terms

We are Lisa Canning LLC, doing business as Lisa's Clarinet Shop, Working Musicians Academy, Wind Repair Training Academy, and SeriO ("Company," "we," "us," "our"), a company registered in Illinois, United States at 5120 Belmont Road, Unit C, Downers Grove, IL 60515.

We operate the website www.workingmusiciansacademy.com (the "Site"), together with our courses, training programs, community platforms, and any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

You can contact us by phone at 800.521.1569, by email at info@workingmusiciansacademy.com, or by mail at 5120 Belmont Road, Unit C, Downers Grove, IL 60515, United States.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Lisa Canning LLC, concerning your access to and use of the Services. By accessing the Services or enrolling in any course, you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you to any changes by updating the "Last updated" date. It is your responsibility to review these Legal Terms periodically. Your continued use of the Services after revised Legal Terms are posted means you accept those changes. Changes will not apply retroactively to the refund terms of a course you have already enrolled in and paid for.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, a parent or guardian to use the Services. If you are a minor, your parent or guardian must read and agree to these Legal Terms before you use the Services.

We recommend that you print or save a copy of these Legal Terms for your records.

1.SMS Text Messaging Program

Program description

Working Musicians Academy operates an SMS text messaging program. If you opt in, we may send you text messages relating to:

  • enrollment confirmations and payment issues, including failed or upcoming payment plan charges;
  • course start dates, live session reminders and Zoom access details;
  • schedule changes, instructor changes and cancellations;
  • assignment deadlines, feedback notifications and completion or certification updates;
  • course kit shipping and delivery updates;
  • responses to questions you have sent us; and
  • announcements of upcoming courses, enrollment windows and other marketing messages.

Consent

You opt in by providing your mobile number and agreeing to receive text messages at enrollment, at checkout, or by texting us directly. Consent to receive marketing text messages is not a condition of enrollment in any course.

Age restriction

You must be at least eighteen (18) years of age to enroll in our SMS program. By opting in you confirm that you are 18 or older. This restriction applies to the SMS program specifically, regardless of any other provision of these Legal Terms concerning use of the Services by minors with the consent of a parent, guardian or authorized school official. Where a student is under 18, the parent, guardian or school representative may enroll their own mobile number instead. If we learn that a person under 18 has enrolled, we will remove that number from the program.

Message frequency

Message frequency varies depending on the courses you are enrolled in and the stage of those courses.

Message and data rates

Message and data rates may apply. Your mobile carrier may charge you for sending and receiving text messages according to your plan. We do not charge for the messages themselves; any charges come from your carrier and are your responsibility.

How to opt out

Reply STOP to any message from us to opt out. You may cancel at any time. After you send STOP, we will send one confirmation message and will not send further messages unless you opt in again. You may also opt out by contacting us using the details below. Opting out of text messages does not withdraw you from a course, and we will continue to send enrollment-related information by email.

How to get help

Reply HELP to any message from us for assistance, or contact us at info@workingmusiciansacademy.com or 773.756.2163.

Carrier liability

Mobile carriers are not liable for delayed or undelivered messages. Delivery of text messages is subject to effective transmission by your mobile carrier and is not guaranteed. We are not responsible for any delay or failure in delivery, and not for any consequence of a message you did not receive, including a missed live session, deadline or schedule change.

Supported carriers

Our program is supported by major mobile carriers in the United States. Carrier support may change without notice.

Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All of the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. No mobile information is sold, rented or leased to anyone. Where we use a text messaging provider to deliver messages on our behalf, that provider may process your number solely to send the messages we ask it to send, and may not use it for its own purposes. For details on how we handle your information, see our Privacy Policy.

Contact

For questions about our SMS program, contact us at info@workingmusiciansacademy.com, by phone at 773.756.2163, or by mail at 5120 Belmont Road, Unit C, Downers Grove, IL 60515, United States.

2.Our Services

Working Musicians Academy provides instructional courses, training programs and related educational materials in woodwind instrument repair, product knowledge and music-industry sales skills.

Our courses are delivered entirely online, through a combination of self-paced video instruction and live sessions conducted by video conference. We do not provide in-person or on-site instruction.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

3.Enrollment and Eligibility

By enrolling in a course you represent and warrant that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside, or if you are, you have obtained the consent of a parent, guardian or authorized school official; (3) all enrollment information you provide is true, accurate, current and complete; (4) you will not access the Services through automated or non-human means; and (5) your use of the Services will not violate any applicable law or regulation.

Enrollment is personal to you. Course access, login credentials, and course materials may not be shared, transferred, resold or assigned to any other person. A single enrollment entitles one named student to participate.

We reserve the right to refuse, limit or cancel any enrollment at our sole discretion, including where a course is oversubscribed, where prerequisites are not met, or where we believe the enrollment is being made on behalf of an unauthorized third party.

4.Tuition and Payment

Tuition, fees and kit prices are stated at the time of enrollment. All payments are in US dollars. Sales tax will be added where required.

You agree to provide current, complete and accurate payment information, and to keep it updated so that we can complete your transactions and contact you as needed. You authorize us to charge your chosen payment provider for the amounts due at the time of enrollment.

Where a payment plan is offered, you remain responsible for the full tuition amount. If a scheduled payment fails or is not made when due, we may suspend your access to course materials until the account is brought current. Suspension for non-payment does not extend your access period or entitle you to a refund.

We may change prices at any time, but a price change will not affect an enrollment already paid for. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

5.Course Kits, Tools and Materials

Certain courses include a course kit containing tools, parts and supplies necessary to complete the coursework. Kits are shipped to the address you provide at enrollment. You are responsible for providing an accurate shipping address; we are not responsible for kits delayed or lost due to an incorrect address.

Where a course does not include a kit, you are responsible for obtaining the tools, materials and instruments listed as required for that course before instruction begins.

Risk of loss for a kit passes to you upon delivery. Kits are not returnable once shipped, except where an item arrives damaged or defective, in which case you must notify us within ten (10) days of delivery so that we can arrange a replacement.

6.Cancellation and Refunds

Before the course start date

If you cancel your enrollment at any time before the course start date, you will receive a full refund of tuition paid.

Course kit deduction

If your course kit has already shipped at the time you cancel, the cost of the kit will be deducted from your refund. The kit is yours to keep. The kit amounts are:

  • Level 1 course kit — $450.00
  • Level 2 course kit — $650.00

These amounts apply to any of our courses that include a Level 1 or Level 2 kit.

On or after the course start date

Once the course has started, tuition is non-refundable in full. No partial or prorated refunds are given for classes not attended, coursework not completed, or withdrawal partway through a course.

How to cancel

To cancel, contact us in writing at info@workingmusiciansacademy.com before the course start date. The date we receive your written cancellation is the date used to determine your refund.

Approved refunds will be issued to the original payment method within five (5) business days of our confirming the cancellation. If you paid by check or cash, a refund check will be mailed within five (5) business days, though delivery by mail typically takes an additional ten to twelve (10–12) business days.

Cancellation by us

If we cancel a course before it begins, or discontinue a course you are enrolled in partway through, you will receive a full refund of tuition paid or, at your election, a transfer to the next available session. This is our entire liability to you for a cancelled course.

7.Course Schedule and Changes

Course dates, session times, instructors and the order in which topics are covered may change. We will make reasonable efforts to give advance notice of any change. Changes to schedule, instructor or delivery format do not entitle you to a refund.

We may reschedule or substitute an instructor for any reason, including illness, travel disruption, or circumstances beyond our reasonable control.

8.Access to Course Materials

Upon enrollment you are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and use the course materials for your own individual learning, for a period of one (1) year from the course start date.

Access ends automatically at the end of that period. Extensions are not automatic and are granted, if at all, at our discretion. Suspension of access for non-payment does not extend the one-year period.

We may, but are not obligated to, continue to host, update or maintain any course, recording or platform indefinitely. We may migrate courses between platforms. Where we discontinue hosting a course you have paid for, we will make reasonable efforts to give you notice and an opportunity to download any materials made available for download.

9.Certification, Referrals and Outcomes

Certificate of completion

Students who complete a course and satisfy its assignment requirements receive a certificate of completion from Working Musicians Academy. A certificate of completion confirms that you completed our course. It is not a professional license, an accredited academic credential, or a trade certification issued by any third party, and it does not authorize you to represent yourself as licensed, accredited or certified by anyone other than Working Musicians Academy.

Referrals and marketplace support

Where a student completes course assignments to our satisfaction and communicates professionally throughout the course, we may vouch for that student and assist in connecting them with an initial customer through our marketplace. Whether we do so, and the manner and timing of any such assistance, is at our sole discretion and is based on our assessment of the student's work and professionalism. Assistance of this kind is a courtesy we extend to students who meet our standards. It is not a term of enrollment, not a condition of your tuition, and not a guarantee of any customer, engagement, income, or continuing referrals.

No guarantee of outcomes

We do not guarantee employment, income, job placement, business success, any particular number of customers, licensure, or acceptance by any employer, school, guild or professional body. Any statements about earnings, career outcomes, or the experiences of past students are illustrative only and are not a promise or guarantee of your results. Your outcome depends on your own effort, aptitude, prior experience, market conditions and other factors outside our control.

Your relationship with customers

Where we refer or introduce you to a customer, you act on your own behalf and not as our employee, agent, partner or representative. You are solely responsible for the work you perform, for your own pricing and agreements with that customer, for obtaining any applicable business licensing and insurance, and for any claim arising out of that work. We make no warranty to any customer regarding your work and accept no responsibility for it.

10.Tools, Hands-On Work and Assumption of Risk

Because our instruction is delivered online, all hands-on work is performed by you, at your own location and on your own schedule, without direct in-person supervision by an instructor. We cannot observe your workspace, your technique, or your handling of tools and materials, and we do not inspect any instrument you work on.

Instrument repair work involves the use of hand tools, cutting tools, heat sources, adhesives, solvents, abrasives and other materials that can cause serious injury if used improperly, and that can damage an instrument if used incorrectly.

You acknowledge and agree that:

  • You are solely responsible for your own safety, for the safe use and storage of tools and materials, and for working in a safe, well-ventilated and appropriate environment.
  • You will follow all safety instructions given in the course and all safety and usage instructions supplied by the manufacturers of any tools or materials, including those supplied in a course kit.
  • You will keep tools, chemicals and materials out of the reach of children and anyone else who may be present at your location.
  • You will comply with all applicable laws and regulations, including those governing the handling, storage and disposal of chemicals and solvents.
  • Any work you perform on any instrument — whether your own, a school's, a customer's, or a third party's — is performed at your own risk and on your own responsibility.
  • We are not responsible for any damage to any instrument you work on, whether during the course or afterward, and we are not responsible for any claim brought against you by an instrument's owner.
  • To the fullest extent permitted by law, you assume all risk of personal injury, property damage and loss arising from your participation in the course and from your use of tools and materials.

If you have a medical condition, physical limitation, or sensitivity to chemicals or fumes that may affect your safe participation, you are responsible for consulting a qualified professional before enrolling and for taking appropriate precautions.

11.Intellectual Property

We are the owner or licensee of all intellectual property rights in the Services, including all course materials, video and audio recordings, curricula, written and printed materials, diagrams, source code, databases, functionality, software, website design, text, photographs and graphics (collectively, the "Content"), as well as the trademarks, service marks and logos contained therein (the "Marks").

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Content and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

You may not:

  • record, screen-capture, download (except where a download is expressly offered), copy, reproduce, republish, upload, post, publicly display, transmit, distribute, sell or license any Content;
  • share your login credentials, or give any other person access to the Content;
  • use the Content to teach, train, or prepare instructional materials for any other person, class, program or business;
  • use the Content to create any competing course, curriculum or training program; or
  • use the Content, in whole or in part, to train, fine-tune or develop any machine learning or artificial intelligence system.

Any breach of this section is a material breach of these Legal Terms, and your access to the Services will terminate immediately without refund. We reserve all rights not expressly granted.

If you wish to make any use of the Content or Marks other than as set out above — including use by a school, band program, shop or other institution — please contact us at info@workingmusiciansacademy.com.

12.Student Conduct and Community

Our courses include access to live sessions conducted by video conference, and may include a discussion group or community platform. When participating, you agree to treat instructors, staff and other students with respect, and not to post, send, publish, upload or transmit anything that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful or misleading.

You further agree not to use the community to advertise, solicit or recruit; to share or request pirated materials; to record or redistribute sessions; or to collect other students' contact information for the purpose of sending unsolicited messages.

We may remove any post, restrict participation, or terminate access for conduct that in our sole discretion violates this section. Termination for conduct does not entitle you to a refund.

13.Your Submissions

By sending us any question, comment, suggestion, idea, feedback, testimonial or other information about the Services ("Submissions"), you agree that we may use and share that feedback for any lawful purpose without acknowledgment or compensation to you.

You are solely responsible for your Submissions. You warrant that your Submissions are original to you or that you have the necessary rights to submit them, that they do not violate any third party's rights, and that they do not constitute confidential information.

Where you submit coursework — including photographs and video of your repair work — for grading or feedback, you retain ownership of that work. You grant us a license to use it for the purpose of instructing you and administering the course. We will ask your separate permission before using any student work in marketing materials.

14.Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. Without limiting the foregoing, you agree not to: systematically retrieve data or content to create a compilation or database without our written permission; trick, defraud or mislead us or other users; circumvent or interfere with security-related features; make improper use of our support services; engage in unauthorized framing of or linking to the Services; upload viruses or other harmful material; use any data mining, robot, scraper or similar tool; impersonate another user; interfere with or create an undue burden on the Services; harass or threaten our employees or agents; attempt to bypass measures designed to restrict access; or copy, adapt, decompile, disassemble or reverse engineer any software making up part of the Services.

15.Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

Please be advised the Services are hosted in the United States. If you access the Services from another region with laws governing personal data collection, use or disclosure that differ from applicable United States law, then through your continued use of the Services you are transferring your data to the United States and you expressly consent to have your data transferred to and processed in the United States.

16.Term and Termination

These Legal Terms remain in full force and effect while you use the Services. Without limiting any other provision, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including for breach of any representation, warranty or covenant contained in these Legal Terms or of any applicable law or regulation.

If we terminate your access for breach of these Legal Terms, you are not entitled to a refund of tuition paid. If we terminate your access for any other reason, we will refund the unused portion of your tuition on a prorated basis.

If your access is terminated, you are prohibited from registering or creating a new account under your name, a fake or borrowed name, or the name of any third party.

17.Modifications and Interruptions

We reserve the right to change, modify or remove the contents of the Services at any time at our sole discretion. We cannot guarantee the Services will be available at all times. We may experience hardware, software or other problems, or need to perform maintenance, resulting in interruptions, delays or errors. You agree that we have no liability for any loss, damage or inconvenience caused by your inability to access or use the Services during any downtime. Where an interruption prevents delivery of a substantial portion of a course you have paid for, we will make reasonable efforts to reschedule or otherwise make the missed instruction available to you.

18.Governing Law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Illinois applicable to agreements made and to be entirely performed within the State of Illinois, without regard to its conflict of law principles.

19.Dispute Resolution

Informal negotiations

Before filing any formal dispute, you agree to contact us and attempt in good faith to resolve the matter informally for at least thirty (30) days.

Binding arbitration

If the parties are unable to resolve a dispute through informal negotiations, the dispute (except those expressly excluded below) will be finally and exclusively resolved by binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial. The arbitration will be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. Your arbitration fees and share of arbitrator compensation will be governed by the AAA Consumer Rules, and if such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone or online. Except as otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Illinois, United States.

If for any reason a dispute proceeds in court rather than arbitration, it will be commenced in the state and federal courts located in Illinois, United States, and the parties consent to jurisdiction and venue in those courts and waive all defenses of lack of personal jurisdiction and forum non conveniens.

Restrictions

Any arbitration will be limited to the dispute between the parties individually. To the full extent permitted by law, no arbitration will be joined with any other proceeding, there is no right or authority for any dispute to be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a representative capacity on behalf of the general public or any other persons.

Exceptions

The following are not subject to binding arbitration: (a) disputes seeking to enforce or protect, or concerning the validity of, either party's intellectual property rights; (b) disputes related to allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for injunctive relief.

20.Corrections

There may be information on the Services that contains typographical errors, inaccuracies or omissions, including descriptions, pricing, availability, course dates and other information. We reserve the right to correct any errors, inaccuracies or omissions and to change or update the information at any time, without prior notice.

21.Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES OR INACCURACIES OF CONTENT AND MATERIALS; (2) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES OR FROM YOUR PARTICIPATION IN HANDS-ON INSTRUCTION; (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN; (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (5) ANY BUGS, VIRUSES OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY; OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT MADE AVAILABLE VIA THE SERVICES.

22.Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, INSTRUCTORS OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, DAMAGE TO ANY INSTRUMENT, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT OF TUITION AND FEES YOU PAID TO US FOR THE COURSE GIVING RISE TO THE CLAIM.

CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

23.Indemnification

You agree to defend, indemnify and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, instructors and employees, from and against any loss, damage, liability, claim or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including intellectual property rights; (5) any overt harmful act toward any other user of the Services; or (6) any work you perform on any instrument belonging to a third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

24.User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we have no liability to you for any loss or corruption of such data.

25.Electronic Communications, Transactions and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.

26.California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

27.Miscellaneous

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision does not operate as a waiver of that right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision is determined to be unlawful, void or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or your use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them.
